TERMS OF SERVICE
Effective from: April 16, 2025
This web application, Apexloop (hereinafter referred to as the “Service”), is operated by Qerbia Solutions s.r.o., with its registered office at Severní 767/56, Slezské Předměstí, 500 03 Hradec Králové, Czech Republic, company ID 174 38 969, registered in the Commercial Register maintained by the Regional Court in Hradec Králové, Section C, Insert 49903 (hereinafter referred to as the “Operator”).
By using the Service, you agree to the terms and conditions below.
1. Purpose of the Service
Apexloop is an online tool for team collaboration, task management, documents, and data. Access to the Service is available via a web browser at www.apexloop.io. Our Service is intended exclusively for business users.
2. Ordering the Service
- We provide the Service to business users only. If you are an individual, by agreeing to these terms, you confirm that you are using the Service for business purposes and not as a consumer.
- We will provide the Service based on your order.
- The agreement is concluded upon confirmation of the order or activation of the Service. We reserve the right to reject any order.
- You must provide accurate information during registration and ordering and keep it updated. We will rely on the data you submit.
- You must create a user account to use the Service. You are responsible for providing truthful and current information. The account is non-transferable, and you are responsible for its security.
- If it’s unclear who placed the order, we consider the business from whose account the payment was made to be the contractual party.
3. Scope of Use
- Anyone can try the Service for free in the trial version. After the trial period, you can switch to a paid plan, otherwise, the Service will end.
- The scope of the Service depends on the selected plan.
- Plans can be changed. Switching to a lower plan may result in data loss.
- The Service is available for the duration of the prepaid plan. Once it expires, the Service will end.
- We may modify features of the Service without notice, especially due to development.
- We include new features in the plans at our discretion, with no legal entitlement.
- If we introduce charges for previously free features or change the pricing, we’ll notify you. If you disagree, you may end the Service after the current prepaid period.
- We grant you a non-exclusive license to use the Service — only for the time it is paid for and only to the extent necessary for proper use.
4. User Rights and Obligations
- The user must not use the Service for illegal activities.
- The user is responsible for any content they upload to the Service.
- The user must not disrupt the Service or attempt to bypass its security.
- The user must not access the Service using any automated tools (bots, scripts, etc.) unless we approve it or through dedicated API access.
5. Operator Rights and Obligations
- The Operator strives to ensure continuous and secure operation of the Service but is not liable for temporary outages.
- The Operator has the right to modify or discontinue the Service or change these terms. Users will be informed of changes.
6. Payment Terms
- The price of the Service depends on the selected plan – see the pricing overview.
- The current pricing list at the time of ordering or renewal applies.
- Payment is only possible via online card payment.
- The Service is available only after payment is received.
- A payment receipt will be sent to the email provided in the order.
- We are not VAT payers.
- The Service is paid through recurring payments:
- After the first payment, we will ask you to authorize automatic billing.
- Payments will then recur every 30 days automatically.
- You can cancel recurring payments anytime via email or your account — we’ll confirm it, and no further payments will be made.
- Payments also stop if your card expires.
- To resume payments, new authorization is needed.
- If a payment is made by mistake after cancellation, contact us — we’ll resolve it promptly.
- You’ll be notified of any changes via email.
- After the first payment, we will ask you to authorize automatic billing.
- Online payments are processed by Comgate payment gateway. The provider, Comgate a.s., is a licensed Payment Institution under the supervision of the Czech National Bank. Payments via the gateway are fully secured, and all information is encrypted. More info at www.comgate.cz.
7. Termination
- You can stop using the Service at any time by deleting your account. No refund is provided for unused time on a prepaid plan.
- If payment is delayed for more than 14 days, we may restrict or cancel the account without notice.
- We may immediately restrict or terminate the Service without compensation if:
- you use it unlawfully or unethically,
- you violate third-party rights or our terms,
- you break the law.
- Termination does not affect your obligation to pay for the Service already provided or liability for any damages.

- For serious reasons (e.g., discontinuation), we may fully terminate the Service with one month’s notice via email.
- After account cancellation, we will retain your content for 1 year as a backup — with no legal entitlement. If you don’t return, we will delete it unless agreed otherwise.
- If the account remains inactive for over 1 year, we will delete the data.
8. Data Protection
A relationship with the Operator is established under the Privacy Policy available at link to policy.
9. Intellectual Property
The Service and all its content (except user content) are protected by copyright. Users may not distribute, copy, or modify the content without the Operator's consent.
10. Liability for Damages
- You are fully responsible for uploaded content. We are not liable if:
- you upload content without proper authorization,
- your content infringes third-party rights,
- your content violates the law or public morals.
- The website, app, and account may not be continuously available (due to maintenance, outages, or third-party issues). We are not liable for such outages but will resolve them promptly. If we cause an outage lasting more than 24 hours, we will offer a proportional discount — no further compensation is provided.

- We will inform you of planned outages via your account.
- Service functionality also depends on third-party services and devices, for which we are not responsible. Use up-to-date systems and browsers.
- If you share your account with third parties, we are not responsible for misuse, changes, or data loss. Protect your data.
- We back up data but also recommend your own backups.
- If you cause us damage by violating these terms, you agree to compensate us and cooperate in minimizing the harm — including non-material damage.
11. Liability for Defects
- If a paid Service does not meet the agreed terms, you can file a complaint as per the law. For fixable defects, you’re entitled to a fix or discount. For non-fixable defects, a reasonable discount.

- Include a description of the defect, the relevant account, and how you’d like it resolved.
- In case of outages, you must cooperate — respond to messages, provide necessary info and access within 2 days.
- We are not liable for issues on your side, such as improper setup, third-party service failures, attacks, internet outages, faulty hardware, or outdated software.
12. Final Provisions
- The Service is provided online, and all communication will be conducted accordingly. If the law requires written form, we consider email sufficient. Delivery occurs upon sending the email to the address listed in your profile unless agreed otherwise.
- To provide the Service, we process your personal data and any data for which you act as the controller. These terms therefore include a data processing agreement available at link to agreement.
- We may modify the Service at any time, even during a contract term, without prior notice. If changes require action on your side, you must implement them to maintain functionality.
- We may update these terms due to legal or functional changes in Freelo. We’ll inform you of significant changes by email at least one month in advance. If you do not object within a month, the new terms apply. If you disagree, the Service will end after the prepaid period — without affecting prior obligations.
- These terms are governed by Czech law. Any disputes will be handled by the courts located at the Operator's registered address.
- The contract can be concluded in Czech or English; in case of discrepancies, the Czech version prevails.
- You may not transfer any rights or claims against us to third parties without our consent.
